Terms & Conditions — Extracto

Effective date: 29 October 2026 Last updated: 6 November 2026

These Terms & Conditions ("Terms") govern your access to and use of the Extracto document-extraction service (the "Service") provided by ERK SOLUTIONS, UEN 53534776J ("Extracto", "we", "us", "our"). By accessing or using the Service, or by activating a Licence Code, you ("Customer", "you") agree to these Terms. If you do not agree, do not use the Service.

If you use the Service on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms.

Business customers only. The Service is offered solely to businesses, and solely for business purposes. It is not offered to consumers. By accessing or using the Service, or by activating a Licence Code, you represent and warrant that you are acquiring the Service in the course of a business, trade, profession, or occupation — whether as a sole proprietor, partnership, company, or other organisation — and not as a consumer, and that you are not acquiring the Service for personal, domestic, or household use. Where you deal as a consumer notwithstanding this clause, nothing in these Terms operates to exclude or restrict any right or liability that cannot lawfully be excluded or restricted as against a consumer, and the remainder of these Terms continues to apply so far as it lawfully may.

1. Definitions

2. The Service, licence grant, and quotas

2.1 Licence. Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for your internal business purposes during your subscription term.

2.2 Tiers. The Service is offered in tiers. Each tier determines your Scan allowance, term length, and the document types you may process:

TierScan allowanceTermDocument types
Free1030 daysGeneral types + bank statements
Micro15030 daysGeneral types
Mini40030 daysGeneral types
Starter1,00030 daysAll types
Premium3,00030 daysAll types
Business10,00030 daysAll types

"General types" means invoices, receipts, claim forms, leave forms, offer letters, timesheets, and other/uncategorised documents. "All types" additionally includes bank statements. A legacy 3-day Demo tier (10 Scans, invoices and receipts only) remains in force for accounts already issued one.

Tier composition, allowances, and prices may be changed prospectively in accordance with clause 9. Your entitlement is the one recorded against your Licence Code.

2.3 What counts as a Scan. One Scan is one successful extraction of one Document, regardless of how many pages that Document contains — a twelve-page bank statement is one Scan, not twelve. Document-type detection passes, failed extractions, and requests that return no result do not count against your allowance. Re-running an extraction on the same Document counts as a new Scan.

2.4 Exhaustion and expiry. When your Scan allowance is exhausted or your term expires, processing is refused until the licence is renewed or upgraded. Licence records are retained for 30 days after expiry and then automatically deleted (see the Privacy Policy). Automatic renewal is off unless expressly enabled on your licence; where enabled, a licence within 7 days of expiry is extended by a further term on your next authenticated request.

2.5 Fair-use limits. The Service applies per-licence request-rate limits (currently 60 requests per minute) and output-size ceilings to protect availability. These are operational controls, not entitlements, and may be adjusted.

3. Accounts, Licence Codes, and security

3.1 Your Licence Code is confidential and personal to your subscription. You are responsible for all activity under it and for keeping it secure. Do not share, resell, or sublicense it.

3.2 You may set a username and password against your Licence Code. You are responsible for the strength and confidentiality of that password and for all activity under it. Passwords are stored only in salted, hashed form and cannot be recovered by us — only reset.

3.3 Repeated failed sign-in attempts trigger an escalating temporary lockout applied to the originating network address. This is a security control and applies regardless of fault.

3.4 Sub-users. Premium and Business tier owners may create Sub-user logins that draw on the owner's Scan allowance and expire with the owner's licence. You are responsible for your Sub-users' acts and omissions as if they were your own, for the lawfulness of what they upload, and for removing their access when they leave your organisation.

3.5 Administrator access to the Service's management console is restricted to us. We may suspend or revoke a Licence Code that is shared, abused, used fraudulently, or used in breach of these Terms.

4. Acceptable use and your warranties

You agree that you will not:

You represent and warrant that, for every Document you upload, you have all necessary rights, authority, consents, and lawful bases to upload it and to have the Personal Data within it processed by the Service and our sub-processors as described in our Privacy Policy.

You further represent and warrant that you are using the Service in the course of a business and not as a consumer, as set out at the head of these Terms, and that the Documents you upload are business records rather than personal, domestic, or household material.

5. AI output — accuracy and your duty to verify

The Service uses automated, AI-based extraction. Output may be incomplete, inaccurate, or incorrect. You acknowledge and agree that:

6. No professional advice

The Service and its Output do not constitute tax, accounting, legal, financial, or other professional advice. You should obtain advice from a qualified professional before acting on any Output.

7. Tax, e-invoicing, and compliance submissions

7.1 The Service can format data for third-party accounting platforms and for tax and e-invoicing systems, including Singapore GST formats and Malaysian SST handling.

7.2 MyInvois is provided as a BETA feature. The Service's LHDN MyInvois output is not certified, not validated against the LHDN validator, and emits placeholder identifiers in place of issued values. It must not be treated as a compliant Malaysian e-Invoice submission, and no representation of MyInvois or LHDN compliance is made. Use it as a data-preparation aid only.

7.3 You are solely responsible for reviewing, correcting, and validating all data and documents before submission to any tax authority, accounting platform, or other third party; for ensuring submissions comply with applicable law and the receiving system's requirements; and for the accuracy, completeness, and legal consequences of anything you submit.

7.4 We are not responsible for rejected, late, or incorrect filings, penalties, interest, or any other consequence arising from Output you submit to a tax authority or third-party platform.

8. Third-party services, integrations, and export destinations

8.1 The Service produces exports for third-party platforms (for example Xero, QuickBooks, MYOB/ABSS, SQL Account, AutoCount, Financio, and Google Sheets). Those platforms are governed by their own terms and privacy policies. We are not responsible for their availability, behaviour, changes, or processing of your data.

8.2 Google Sheets. The Google Sheets integration works by you deploying a script into your own Google account and giving the Service its address. Data sent that way travels from your browser directly to your own Google Sheet; it does not pass through our servers. Securing that endpoint — including the access setting you choose when deploying it — is your responsibility.

8.3 Export destinations. The Service can write exports to a folder you select on your own device. If you select a folder synchronised to a third-party cloud service (for example Google Drive, Dropbox, or OneDrive), your exports will be transmitted to that service under your agreement with it, outside our control and outside any data-residency commitment we make.

8.4 Email. Where the Service offers to email Output, it composes a message in your own mail application. We do not transmit, receive, or store that message.

9. Fees, billing, and renewals

9.1 Current mechanism. Licences are presently issued and renewed manually by us and invoiced directly. Fees, currency, billing cycle, and payment terms are as stated in your order or invoice.

9.2 Self-serve purchase. We may introduce self-serve card payment. If we do, the payment will be handled by a third-party payment processor, we will not store your card details, and the processor will be added to the sub-processor list in our Privacy Policy before it processes any of your data.

9.3 Renewal. Subscriptions run for the fixed term of your tier and do not renew automatically unless automatic renewal is expressly enabled on your licence or agreed in your order.

9.4 Refunds. Except where a right cannot be excluded by law, fees are non-refundable once a term has begun.

9.5 Changes. We may change fees prospectively on 30 days' notice; changes apply from your next renewal, never mid-term.

9.6 Taxes. Fees are stated exclusive of GST, SST, withholding, and other applicable taxes, which you are responsible for paying.

9.7 Pricing region and currency. Ringgit (MYR) pricing is available only to customers registered as a business in Malaysia, and we may ask for your company registration number to confirm this. All other customers are billed at our Singapore dollar (SGD) prices, whatever currency was displayed to them on our website. If you are billed at a price that does not match your place of registration, we may correct it from your next invoice or renewal; we will not change the fees for a term you have already paid for.

10. Intellectual property

11. Data protection

Our handling of Personal Data is described in our Privacy Policy, which forms part of these Terms. Where we process Personal Data within your Documents on your behalf, we act as your data intermediary (Singapore) / data processor (Malaysia), and that processing is additionally governed by our Data Processing Agreement. You act as the controller of that data and are responsible for your own compliance obligations toward your data subjects.

12. Confidentiality

Each party will protect the other's non-public information disclosed in connection with the Service and use it only as needed to perform under these Terms, except where disclosure is required by law.

13. Disclaimer of warranties

THE SERVICE AND OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DEFECT WILL BE CORRECTED.

This clause is given on the basis that you are a business customer dealing in the course of business, as warranted at the head of these Terms and in clause 4.

14. Limitation of liability

14.1 Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any liability that cannot lawfully be excluded.

14.2 TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS, OR FOR TAX PENALTIES, INTEREST, OR FILING CONSEQUENCES, ARISING FROM OR RELATED TO THE SERVICE OR OUTPUT.

14.3 OUR TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE FEES YOU PAID TO US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

15. Indemnification

You will indemnify and hold us harmless from claims, losses, and costs (including reasonable legal fees) arising from: (a) Documents or data you or your Sub-users upload; (b) your breach of these Terms or of applicable law, including data-protection law; or (c) your submission of Output to any third party or tax authority.

16. Suspension and termination

17. Availability and changes to the Service

The Service is provided without a committed service level or uptime guarantee. We may modify, suspend, or discontinue features, and may update these Terms, from time to time. Material changes will be notified or posted with a revised date; continued use after changes take effect constitutes acceptance.

18. Governing law and disputes

These Terms are governed by the laws of Singapore, and the parties submit to the exclusive jurisdiction of the courts of Singapore.
